Evernorth may sell $XRP from its treasury to fund general corporate expenses, according to its latest SEC filing. The company disclosed that it could sell tokens depending on market conditions but did not specify an amount, timeline or immediate selling plan.

As of October 9, Evernorth held approximately 473 million $XRP, worth around $590 million at a price of $1.25 per token. The filing does not confirm that any of these tokens have been sold.

The disclosure comes alongside a registration covering approximately 73.7 million Evernorth shares held by the company and its investors. However, these shares do not represent an immediate sale of $XRP. Shareholders selling their stock would transfer ownership of the shares without necessarily changing the company’s token reserves.

How Many Evernorth Shares Can Be Sold?

Of the 73.7 million registered shares, approximately 19.1 million currently exist as ordinary shares. The remaining shares depend on future stock conversions or redemption arrangements.

Around 7 million shares are subject to lockup restrictions until April 9, 2027. After accounting for these restrictions and conditional shares, approximately 12 million existing shares could potentially enter the market once the registration becomes effective.

Evernorth’s major shareholders include:

  • Arrington’s $XRP fund: 33.8 million shares.
  • Ripple: 18.1 million shares.
  • SBI Group: Approximately 9.4 million shares.
  • A Ripple-affiliated trust: Approximately 10% of the relevant shareholder list.

Most of Ripple’s holdings, around 16.5 million shares, are conditional. Another 1.7 million shares are subject to lockup restrictions. SBI Group has not signed the same lockup arrangements, but it has not announced whether it intends to sell.

Why Evernorth May Need to Sell $XRP

Evernorth has a $30 million debt note that could become convertible into cash or shares from around October 2027.

Based on the current share price, the potential settlement value discussed in the analysis is approximately $42 million. If the company had to raise the entire amount by selling $XRP at $1.25, it would need approximately 33.5 million tokens, or around 7% of its reported holdings.

The filing specifically warns that Evernorth may need to sell $XRP, raise additional capital or use both options to meet its financial obligations.

Another potential expense involves stakeholder redemption rights. The company can choose between issuing new shares or paying cash to eligible stakeholders. If all eligible redemptions were settled in cash, the estimated requirement could reach approximately $326 million at Friday’s share price.

Evernorth reported approximately $76 million in pro forma cash based on an estimated balance sheet as of the end of June. The $326 million figure is a potential redemption scenario, not an announced payment.

Evernorth $XRP Holdings per Share Decline

Evernorth shares closed at $14.20 on Friday, while the estimated underlying value of $XRP and cash backing each share was approximately $7.90.

Based on the analysis, each share represents around 5.88 $XRP, compared with approximately 6.07 $XRP previously. The decline reflects an increase in the number of shares against the same reported $XRP holdings.

The stock is therefore trading at approximately 1.8 times its estimated underlying asset value.

If the share price falls below approximately $7.90 and remains at a discount, raising money through new share offerings could become more difficult. This could increase the importance of other funding options, including potential $XRP sales.

The filing also identifies approximately $84 million of $XRP purchased at an average price of $2.54. Selling those tokens at $1.25 would mean realizing a loss on that portion of the holdings.

What Could Confirm an Evernorth $XRP Sale?

Investors should monitor three developments:

  1. SEC registration: The resale registration must become effective before eligible shareholders can sell under it. Registration alone does not mean $XRP has been sold.
  2. Updated treasury holdings: Evernorth’s next financial disclosure, expected around mid-November according to the transcript, could provide updated figures. A post-October 9 holding count below 473 million $XRP would indicate a reduction.
  3. Debt and redemption payments: Any decision to settle financial obligations through $XRP sales would directly affect the company’s treasury.

For now, Evernorth has disclosed that it may sell $XRP, but it has not confirmed an actual sale. Its proposed share offering could also bring additional $XRP into its treasury. The company’s future holdings reports will show whether it continues accumulating $XRP or begins selling its reserves.
